These Terms of Service ("Terms") constitute a legally binding agreement between you (whether personally or on behalf of an entity, "Customer," "you," or "your") and HelloAdmin, Inc. ("Company," "HelloAdmin," "we," "us," or "our") governing your access to and use of the HelloAdmin platform, websites, mobile applications, AI voice receptionists, automated telephony services, messaging tools, and administrative software solutions (collectively, the "Service").
BY CREATING AN ACCOUNT, ACCESSING, OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS, YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICE AND MUST DISCONTINUE USE IMMEDIATELY.
1. Description of Service
HelloAdmin provides an AI-powered virtual administrative assistant and voice receptionist platform designed to help owner-operated businesses manage incoming phone calls, respond to customer inquiries, capture lead information, schedule appointments, and coordinate automated follow-up communications.
2. Eligibility & Account Registration
To access and use the Service, you represent and warrant that:
- You are at least 18 years of age and possess the legal authority to form a binding contract.
- If subscribing on behalf of a corporate entity or small business, you have full authority to bind that entity to these Terms.
- All information submitted during account registration is truthful, accurate, and kept up to date.
- You will safeguard your account credentials and immediately notify us of any unauthorized access or security breach. You are solely responsible for all activities occurring under your account credentials.
3. Subscriptions, Fees & Payments
Subscription Plans: Access to certain features of the Service is provided on a recurring subscription basis (monthly or annually) according to the pricing tier selected at registration.
Payment & Auto-Renewal: You authorize HelloAdmin to charge your designated payment method for all applicable subscription fees, telephony usage fees, and taxes on a recurring basis. Subscriptions automatically renew unless cancelled prior to the end of the current billing cycle.
Free Trials & Evaluations: If offered a free trial or evaluation period, your access will convert to a paid subscription at the end of the trial unless cancelled prior to trial expiration.
Refund Policy: Except as expressly required by law or specified in a separate written agreement, all subscription fees and usage charges are non-refundable.
4. Proprietary Rights & License Grant
License Grant: Subject to your compliance with these Terms, HelloAdmin grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your internal business operations.
Intellectual Property: The Service, including all artificial intelligence models, speech synthesis algorithms, software code, user interface designs, logos, trademarks, and documentation, is the exclusive intellectual property of HelloAdmin, Inc. and its licensors.
You agree not to (and shall not permit any third party to):
- Copy, modify, reverse engineer, decompile, or attempt to extract source code from the Service.
- Use the Service or any output to train, benchmark, or develop competing AI models or products.
- Sublicense, lease, resell, or exploit the Service for commercial distribution to third parties.
- Bypass or attempt to circumvent any security features or access controls.
5. Customer Data & Privacy
Data Processing: By submitting or transmitting data, customer information, call transcripts, contact details, or other content through the Service ("Customer Data"), you grant HelloAdmin a worldwide, royalty-free, non-exclusive license to host, copy, process, transmit, store, and analyze Customer Data as necessary to operate, maintain, deliver, and improve the Service.
Privacy Policy: Our collection and use of personal information in connection with the Service is governed by our Privacy Policy, located at https://policies.helloadmin.app/privacy.html.
6. AI Output Disclaimer & Prohibited High-Risk Uses
AI Technology Limitations: The Service utilizes natural language processing and generative artificial intelligence. While designed for accuracy, AI-generated responses, appointment scheduling, speech recognition, and call transcriptions may occasionally contain errors or misinterpretations. You are responsible for auditing and verifying important administrative actions taken by the Service.
No Emergency Services: THE SERVICE IS NOT A REPLACEMENT FOR 911 OR EMERGENCY DISPATCH SERVICES. You expressly agree not to use the Service for emergency call routing, life-critical dispatch, or high-risk activities where system downtime or processing errors could cause harm.
7. Acceptable Use & Telecommunications Compliance
You agree to use the Service strictly in compliance with all applicable local, state, federal, and international laws, rules, and regulations. You are solely responsible for ensuring your business's telecommunications, call handling, and messaging practices comply with legal standards.
Prohibited Conduct & Compliance Rules: You agree not to (and shall not allow third parties to):
- Transmit unsolicited telemarketing calls, illegal robocalls, deceptive caller ID spoofing, or spam in violation of TCPA, TSR, or CAN-SPAM regulations.
- Fail to provide legally required disclosures or obtain necessary end-user consents before recording, transcribing, or sending automated text messages (SMS) to callers or customers. (SMS end-users may opt out at any time by replying STOP or request support by replying HELP; standard message and data rates may apply).
- Harass, abuse, threaten, or defame any caller, customer, or third party.
- Collect or store sensitive health data (HIPAA) or credit card details (PCI-DSS) without executing appropriate compliance agreements with HelloAdmin.
- Interfere with, disable, or place an unreasonable load on the Service's cloud servers, AI infrastructure, or telephony networks.
- Engage in fraudulent, deceptive, or illegal business operations.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HELLOADMIN, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SUPPLIERS EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT.
HELLOADMIN DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT CALL TRANSCRIPTIONS OR AI RESPONSES WILL BE ABSOLUTELY ACCURATE, OR THAT DEFECTS WILL BE CORRECTED.
9. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL HELLOADMIN, INC., ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES (INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, CUSTOMER LEADS, OR BUSINESS OPPORTUNITIES) ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
HELLOADMIN'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100) OR THE TOTAL AMOUNT OF SUBSCRIPTION FEES PAID BY YOU TO HELLOADMIN IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
10. Indemnification
You agree to defend, indemnify, and hold harmless HelloAdmin, Inc., its officers, directors, employees, agents, and successors from and against any third-party claims, demands, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your access to or use of the Service;
- Your breach of these Terms or violation of any applicable law, rule, or regulation;
- Your failure to obtain required legal consents for call recording, monitoring, or SMS messaging under applicable privacy or telecommunications laws; or
- Any dispute between you and your callers, customers, or end-users.
11. Termination & Suspension
We reserve the right to suspend or terminate your account and access to the Service immediately, without prior notice or liability, for any reason, including if we reasonably believe you have violated these Terms. Upon termination, your right to use the Service ceases immediately. Sections 4–5 and 8–14 shall survive termination.
12. Governing Law & Dispute Resolution
Governing Law: These Terms and any dispute arising out of or relating to them shall be governed by and construed in accordance with the laws of the State of Delaware, without giving effect to any principles of conflicts of law.
Jurisdiction & Venue: Any legal suit, action, or proceeding arising out of or related to these Terms or the Service shall be instituted exclusively in the state or federal courts located in Wilmington, Delaware (or, at HelloAdmin's election, Loudoun County, Virginia). You irrevocably submit to the personal jurisdiction of such courts.
Class Action Waiver: YOU AND HELLOADMIN AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
13. Changes to Terms
We reserve the right to modify these Terms at any time. When material updates are made, we will revise the "Effective Date" at the top of this document and provide notice via email or platform notification. Your continued use of the Service following the posting of revised Terms constitutes your acceptance of the changes.
14. Miscellaneous & Contact Us
Entire Agreement: These Terms, together with our Privacy Policy, constitute the complete and exclusive agreement between you and HelloAdmin regarding the Service.
Severability: If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
